Mamela Mino Non-Disclosure Agreement

1. Purpose

The purpose of this Agreement is to allow Mamela Mino Corporation to disclose certain confidential and proprietary information to you in connection with a product demonstration, presentation, discussion, testing, or evaluation of the Mmino App, including its features, concept, business model, technology, user experience, commercial direction, and related opportunities.

2. Confidential Information

For purposes of this Agreement, “Confidential Information” means all non-public information disclosed by the Company to you, whether orally, visually, electronically, in writing, or through demonstration, including but not limited to:

• the Mmino App concept, structure, and functionality
• designs, wireframes, layouts, workflows, and user journeys
• product features, prototypes, and future roadmap
• business strategies, monetization plans, and market approach
• artist engagement models, partner structures, and platform operations
• technical systems, backend logic, architecture, and product methods
• intellectual property, trade secrets, proprietary know-how, and creative concepts
• notes, screenshots, recordings, summaries, or any material derived from the disclosure.

3. Your Obligations

You agree that you shall:

• keep all Confidential Information strictly confidential
• not disclose, share, publish, forward, copy, distribute, or make available any Confidential Information to any third party without our prior written consent
• not use the Confidential Information for any purpose other than evaluating the Mmino App and discussing a possible relationship with us
• not record, screenshot, photograph, download, store, or otherwise capture the demonstration or any part of the Confidential Information without our prior written permission
• take reasonable measures to prevent unauthorized access, use, or disclosure of the Confidential Information
• not reverse engineer, replicate, adapt, exploit, copy, or misuse any part of the Confidential Information for personal or commercial benefit.

4. Non-Use and Non-Circumvention

You agree not to use the Confidential Information to compete with, imitate, bypass, undermine, or independently exploit the Mmino App concept, opportunity, structure, feature set, or business strategy in any way that is derived from or materially informed by our disclosure.

5. Exclusions

Confidential Information does not include information that you can clearly demonstrate:

• was already lawfully known to you before disclosure by the Company
• becomes publicly available through no breach of this Agreement by you
• is lawfully received from a third party without restriction and without breach of any confidentiality obligation
• was independently developed by you without use of or reference to our Confidential Information.

6. Ownership

All Confidential Information disclosed under this Agreement remains the sole property of Mamela Mino Corporation. Nothing in this Agreement grants you any license, ownership interest, right to use, or other claim in or to the Mmino App, its intellectual property, or any related materials, except for the limited right to review such information for the purpose stated in this Agreement.

7. Return, Deletion, and Destruction

Upon our written request, you shall promptly delete or destroy all Confidential Information in your possession or control, including notes, screenshots, recordings, copies, summaries, downloads, and electronic materials derived from the disclosure.

8. Public Disclosure

You shall not make any public statement, post on social media, share with press, blogs, or third parties, or otherwise publicly reference the Mmino App demonstration, its contents, or the existence of discussions with Mamela Mino Corporation without our prior written approval.

9. Term

This Agreement begins on the Effective Date and remains in effect for a period of three (3) years from that date, except that any trade secrets or highly sensitive proprietary information shall remain protected for as long as they retain their confidential nature under applicable law.

10. Remedies

You acknowledge that any unauthorized use or disclosure of the Confidential Information may cause irreparable harm to the Company for which monetary damages may not be sufficient. Accordingly, the Company shall be entitled to seek injunctive relief, equitable remedies, and any other remedies available under law, in addition to any claim for damages.

11. No Obligation

Nothing in this Agreement requires either party to enter into any endorsement, partnership, business relationship, licensing agreement, or other transaction. The product demonstration is provided for evaluation and discussion purposes only.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.

13. Entire Agreement

This Agreement constitutes the entire understanding between you and Mamela Mino Corporation regarding confidentiality in relation to the Mmino App demonstration and supersedes any prior discussions or understandings on the matter. Any amendment to this Agreement must be in writing and authorized by Mamela Mino Corporation.

14. Electronic Acceptance

You agree that entering your name and checking the box stating “I have read, understood, and agree to this Non-Disclosure Agreement” constitutes your electronic signature and your legal acceptance of this Agreement. You further agree that this electronic acceptance shall have the same force and effect as a handwritten signature.
